Terms and Conditions
SKYNET AI LTD · skynetai.it.com · England and Wales · effective 1 September 2026
These Terms and Conditions ("Terms") govern the supply of goods and services by SKYNET AI LTD ("Supplier", "we", "us" or "our") of 119 Windmill Avenue, St. Albans, AL4 9SL, United Kingdom to business customers ("Customer", "you" or "your"). They apply to B2B wholesale of professional and commercial equipment, electronics and appliance retail, computer systems design and related services, computers, peripherals and software, computer store sales, enterprise hardware wholesale, B2B IT infrastructure procurement, peripherals and office technology retail, custom computer system design and integration, enterprise software licensing and distribution, and commercial electronics supply chain activities offered via https://skynetai.it.com and offline channels.
These Terms are effective from 1 September 2026 and are governed by the laws of England and Wales. Disputes are subject to the exclusive jurisdiction of the courts of England and Wales, subject to any non-excludable rights. Website browsing is also subject to terms-of-service.html, privacy-policy.html and cookie-policy.html. For notices contact service@skynetai.it.com, telephone +44 7520 987654, or write to the address above. See also contact.html, about.html, services.html and /.
By placing an order, accepting a quotation, opening a credit account, or otherwise purchasing from us, you agree to these Terms to the exclusion of any Customer terms of purchase, unless we have signed a framework agreement that expressly varies these Terms. If you are a consumer within the meaning of the Consumer Rights Act 2015, mandatory consumer protections apply and prevail over inconsistent commercial exclusions to the extent required by law.
1. Definitions and interpretation
In these Terms, "Goods" means hardware, electronics, appliances, computers, peripherals, networking equipment, components, accessories and other tangible items we supply. "Services" means design, configuration, integration, installation support, consultancy, procurement assistance, staging, imaging, cabling advice and related professional services. "Software" means computer programs, firmware, operating systems, middleware, applications and digital licences we supply or arrange, including third-party publisher licences. "Order" means your offer to purchase Goods, Services or Software. "Contract" means the agreement formed when we accept an Order. "Specification" means the technical description agreed in writing.
"Writing" and "written" include email to and from service@skynetai.it.com and other addresses we designate, but exclude text messages and social media direct messages unless we confirm otherwise. Headings are for convenience only. References to statutes include amendments and re-enactments. "Business Day" means a day other than Saturday, Sunday or a public holiday in England. Words importing the singular include the plural and vice versa.
A reference to "including" means including without limitation. If there is conflict between documents forming the Contract, the following order of precedence applies unless expressly stated otherwise: (a) a signed framework or project agreement; (b) our written Order acceptance or quotation expressly accepted; (c) these Terms; (d) any Customer purchase order terms, which are excluded unless we countersign them; (e) website descriptions on skynetai.it.com which are illustrative only.
2. Basis of contract and B2B status
You represent that you purchase as a business customer acting in the course of your trade, business, craft or profession. Credit accounts and wholesale pricing are available only to verified businesses. We may request Companies House details, VAT numbers, trade references and identification of authorised signatories before accepting Orders or granting credit.
A quotation is an invitation to treat and remains open for the period stated, or fourteen (14) days if none is stated, unless withdrawn earlier. Your Order is an offer. The Contract is formed only when we issue written acceptance, despatch Goods, commence Services, or issue an invoice expressly accepting the Order, whichever occurs first.
We may refuse any Order at our discretion, including where stock is unavailable, export controls apply, credit risk is unacceptable, or Specification is incomplete. Catalogue and website prices on https://skynetai.it.com are indicative and may differ from contracted prices. Descriptions on services.html and about.html do not themselves create a Contract.
3. Scope of supply and product categories
We supply professional and commercial equipment for business environments, including point-of-sale hardware, industrial computing, audiovisual systems for commercial premises, and related accessories. Electronics and appliance retail for business customers may include commercial facilities technology and office appliances where listed in our quotations.
Computer systems design and related services include requirements capture, bill-of-materials design, compatibility validation, rack and closet layout advice, staging, burn-in testing, operating system deployment, and handover documentation. Custom integration may include assembly of configured workstations, servers and storage arrays from approved components.
Enterprise hardware wholesale covers volume supply of servers, storage, networking switches, wireless access points, firewalls, UPS units and related infrastructure. B2B IT infrastructure procurement assistance includes sourcing across manufacturers, consolidating shipments, and aligning delivery waves to project milestones. Peripherals and office technology retail includes monitors, keyboards, docking stations, printers, scanners and collaboration devices.
Enterprise software licensing and distribution is performed as an authorised reseller or introducer where applicable. Commercial electronics supply chain services may include buffer stock agreements, scheduled releases, and serialised asset tracking subject to separate schedules. Nothing obliges us to supply products we are not authorised to distribute.
4. Orders, forecasts and changes
Orders must identify Goods and Services with sufficient particularity, including manufacturer part numbers where known, quantities, delivery address, required dates, and authorised contact names. Verbal Orders are not binding until confirmed in Writing. Blanket Orders and call-offs require an agreed schedule of rates and volumes.
Non-binding forecasts help us plan procurement but do not create purchase obligations unless converted into firm Orders accepted by us. If you cancel or reduce forecast volumes after we have placed non-cancellable manufacturer orders in reliance on your forecast, you shall reimburse our reasonable unavoidable costs, including restocking fees and currency losses.
Changes to accepted Orders require our written agreement. Engineering change notes from manufacturers may alter Specifications; we will notify you of material changes and you may cancel the affected line within five (5) Business Days if the change is not acceptable, subject to reimbursement of costs already incurred that cannot be mitigated.
5. Price, quotations and taxes
Prices are as stated in our quotation or Order acceptance, exclusive of VAT and other taxes unless expressly stated as inclusive. Import duties, brokerage, WEEE charges, packaging levies and expedited freight may be additional where applicable and will be itemised where practicable.
We may adjust prices before despatch if there is a material increase in manufacturer cost, freight, currency fluctuation exceeding three percent (3%), or government imposts, provided we give notice and you may cancel unshipped lines within five (5) Business Days of notice. Firm fixed-price project bids are excepted where the quotation states prices are fixed for a defined period.
Typographical pricing errors may be corrected even after Order acceptance if you could reasonably have recognised the error. Volume discounts apply only to quantities actually purchased in the qualifying period. Promotional pricing on skynetai.it.com may be withdrawn without notice for future Orders.
6. Payment terms and Late Payment of Commercial Debts
Unless credit terms are agreed in Writing, payment is due in advance of despatch or on pro forma invoice. Where credit is granted, invoices are payable within thirty (30) days of invoice date unless a different period is stated on the invoice or credit agreement. Time of payment is of the essence.
We may invoice on despatch, on milestone completion for Services, or monthly in arrears for retained support, as specified in the Contract. You shall pay without set-off, counterclaim or deduction except as required by law. Queries must be raised in Writing within ten (10) Business Days of invoice date; undisputed portions remain payable when due.
Late sums bear interest under the Late Payment of Commercial Debts (Interest) Act 1998 and the Late Payment of Commercial Debts Regulations 2013, at the statutory rate, together with fixed compensation and reasonable recovery costs. We may also charge contractual interest at eight percent (8%) above the Bank of England base rate if higher recovery is permitted and stated on the credit application.
We may suspend deliveries, revoke credit, reclaim Goods under retention of title, and cancel unfulfilled Orders if you fail to pay when due, become insolvent, or undergo a credit deterioration we reasonably consider material. Payment shall be in pounds sterling to the bank account nominated on our invoice.
7. Credit accounts and financial assurance
Credit limits are discretionary and may be reduced or withdrawn on notice. You authorise us to obtain credit reports and trade references. Guarantees from directors or parent companies may be required for higher limits.
If your financial position deteriorates, we may require advance payment, letters of credit, or parent guarantees as a condition of further supply. Failure to provide requested assurance within a reasonable time entitles us to suspend performance without liability for delay caused by the suspension.
Assignment of receivables to invoice finance providers does not alter your payment obligations to us. You must not instruct debtors to divert payments away from accounts we nominate without our prior written consent.
8. Delivery, carriage and risk
Delivery dates are estimates only unless we expressly agree that time is of the essence for a named delivery. We shall use reasonable endeavours to meet estimates. Delay caused by manufacturers, carriers, customs, Force Majeure or Customer unpreparedness does not entitle you to cancel without our agreement, except where statute provides otherwise.
Unless otherwise agreed in Writing, delivery within the United Kingdom is to the address stated in the Order. Risk in Goods passes on delivery to the carrier if you arrange collection, or on arrival at your premises when we arrange carriage, whichever the Contract specifies. International shipments may reference Incoterms 2020 as adapted in the Order acceptance.
You must provide suitable access, unloading facilities and authorised personnel. Failed delivery due to inaccurate address, refused receipt without lawful reason, or lack of access may incur re-delivery charges. Partial deliveries are permitted. Signing a delivery note confirms receipt of packages, not acceptance of quality, which remains subject to inspection rights below.
9. Retention of title
Title to Goods remains with SKYNET AI LTD until we receive cleared payment in full for those Goods and all other sums then due from you. Until title passes, you shall store Goods separately, clearly identified as our property, maintain them in satisfactory condition, and insure them for full replacement value against all usual risks with our interest noted where practicable.
You may resell or use Goods in the ordinary course of business before title passes, but any sale is of our property and proceeds of sale up to the unpaid amount are held on trust for us. You must not pledge, charge or encumber Goods before title passes. Our rights under this clause survive termination.
If you become insolvent, fail to pay when due, or we reasonably believe Goods are at risk, we may enter your premises during business hours to recover Goods to which we hold title, and you grant an irrevocable licence for that limited purpose. Recovery is without prejudice to our other rights and remedies.
10. Inspection, acceptance and rejection
You shall inspect Goods promptly on delivery and notify us in Writing of transport damage or short shipment within three (3) Business Days, and of non-conformity discoverable on reasonable inspection within seven (7) Business Days of delivery. Hidden defects must be notified within seven (7) Business Days of discovery and in any event within the warranty period.
Failure to notify within these periods constitutes acceptance of the Goods as delivered, except for latent defects that could not reasonably have been discovered and except for title and fraud claims. For Services, acceptance occurs when we complete the agreed deliverables and you do not reject in Writing within ten (10) Business Days, or when you put deliverables into live productive use, whichever is earlier.
Where rejection is valid, our liability is limited to repair, replacement, re-performance or refund of the price paid for the non-conforming item, at our option, as more fully set out in the warranties and liability clauses. You must hold rejected Goods for collection and not destroy evidence of alleged defects.
11. Sale of Goods Act 1979 (B2B)
Where the Sale of Goods Act 1979 applies to B2B contracts for Goods, terms as to title, quiet possession, correspondence with description, satisfactory quality and fitness for purpose may be implied. As between businesses, we exclude so far as permitted by the Unfair Contract Terms Act 1977 any implied term as to satisfactory quality and fitness for a particular purpose, except where we have given a written Specification warranty or manufacturer warranty is passed through.
Nothing in these Terms excludes liability for breach of the implied term as to title under section 12 of the Sale of Goods Act 1979. Where Goods are sold by sample or description, correspondence obligations apply subject to commercial tolerances customary in the IT hardware trade, including minor cosmetic variations that do not affect function.
If any exclusion of statutory implied terms is held unreasonable under UCTA 1977, the exclusion shall be modified to the minimum extent necessary to make it reasonable and enforceable, and all other provisions remain in force.
12. Supply of Goods and Services Act 1982
Services are supplied with reasonable care and skill in accordance with the Supply of Goods and Services Act 1982 where that Act applies. Materials supplied with Services will be reasonably fit for the purposes made known in Writing. Time for performance of Services is not of the essence unless expressly agreed.
You shall provide timely access, information, decisions and safe working conditions necessary for us to perform Services. Delays caused by your failure to provide dependencies shall extend performance dates and may increase charges for idle time booked in good faith.
Design recommendations reflect information available at the time. Subsequent changes in your environment, third-party cloud services, or manufacturer roadmaps may require redesign at additional cost. Acceptance testing criteria should be agreed before major integration projects commence.
13. Unfair Contract Terms Act 1977
As a B2B supplier we seek to allocate risk proportionately under UCTA 1977. Liability for death or personal injury caused by negligence, and for fraud or fraudulent misrepresentation, is not excluded. Other exclusions and limitations in these Terms are intended to satisfy the reasonableness test having regard to the availability of insurance, the bargaining positions of the parties, and customary IT supply practice.
You acknowledge that prices reflect the limitations of liability herein. If you require a higher liability cap, we may quote an adjusted price and insurance arrangement. Any negotiated cap will be stated in the Order acceptance.
Where you deal as a consumer, UCTA and the Consumer Rights Act 2015 limit our ability to exclude liability, and consumer-mandatory rights prevail. Business customers should not rely on consumer-only remedies.
14. Consumer Rights Act 2015 and Consumer Contracts Regulations 2013
If you are a consumer, Goods must be of satisfactory quality, fit for purpose and as described, and Services must be performed with reasonable care and skill, under the Consumer Rights Act 2015. Short-term right to reject, repair or replacement, and final right to reject or price reduction apply as statute provides.
For distance contracts with consumers, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013 may confer a fourteen-day cancellation right, subject to exceptions for sealed software, customised Goods, and Services fully performed with prior express consent. We will provide mandatory pre-contract information where required.
These consumer provisions do not expand rights for B2B Customers purchasing in the course of business. Wholesale and enterprise procurement under these Terms is on a business-to-business basis.
15. Manufacturer warranties and pass-through
Many Goods are supplied with manufacturer warranties. Where we are authorised to do so, we will pass through the benefit of manufacturer warranties to the extent assignable. Warranty periods, exclusions and claim processes are those of the manufacturer unless we provide an express additional SKYNET AI LTD warranty in Writing.
We are not liable for manufacturer refusal of warranty claims arising from misuse, unauthorised modification, unsuitable environment, failure to apply firmware updates, or serial number defacement. We may assist with warranty logistics as a chargeable Service if requested.
Refurbished or clearance Goods may carry shorter warranties as stated on the quotation. Batteries, consumables and perishable components may be excluded from long warranty coverage in line with industry norms.
16. Express limited warranty by SKYNET AI LTD
Unless otherwise stated, we warrant that on delivery Goods will materially conform to the agreed Specification and be free from material defects in materials and workmanship for ninety (90) days from delivery, or for such longer period as we state in Writing. This warranty does not cover fair wear and tear, damage in transit after risk has passed where caused by you, or software defects except as expressly stated.
For Services, we warrant performance with reasonable care and skill. If Services fail this warranty, our obligation is to re-perform the defective portion. If re-performance is not commercially reasonable, we may refund the price paid for the defective portion.
Warranty claims must include proof of purchase, serial numbers, and a description of the defect. We may require remote diagnosis before authorising returns. Unauthorised returns may be refused or subject to handling fees.
17. Returns, RMA and restocking
B2B returns are not accepted merely because of change of mind, except at our sole discretion. Where we authorise a return, an RMA number will be issued. Goods must be returned unused, in original packaging, with all accessories, within the period stated in the RMA, at your risk and cost unless we confirm the return is due to our error.
Restocking fees of up to twenty-five percent (25%) may apply to authorised non-defective returns, and higher fees may apply to opened software, special-order items, configured systems, or manufacturer non-returnable lines. Custom-built systems and licensed Software that has been activated are generally non-returnable.
Refunds, where due, are processed to the original payment method or account within a reasonable period after inspection. Credit notes may be issued for account customers. See also privacy-policy.html regarding personal data on returned devices; you must wipe Customer data before return unless we agree to perform data destruction as a Service.
18. Software licensing and copyright
Software is licensed, not sold, except where a publisher's terms expressly transfer ownership of a copy. Your use of Software is governed by the end-user licence agreement or cloud subscription terms of the publisher, which take precedence for licence scope, audit, and usage metrics. We do not grant broader rights than the publisher authorises us to distribute.
Copyright and database rights in Software remain with the publisher or its licensors. You shall not copy, reverse engineer, decompile or create derivative works except to the extent permitted by the Copyright, Designs and Patents Act 1988 sections 50B and 50BA or equivalent mandatory law, or by the licence terms.
Enterprise volume licensing, subscription renewals, true-ups and software assurance benefits must be managed in accordance with publisher programme rules. You are responsible for accurate declarations of usage. Licence audits by publishers may require your cooperation; we will liaise where we remain the reseller of record.
19. Firmware, updates and open source components
Firmware updates may be required for security and compatibility. Installing updates is your responsibility unless we are contracted to manage devices. Failure to install critical updates may invalidate warranties and increase security risk.
Goods and Software may include open source components licensed under GPL, MIT, Apache or similar licences. Those components are provided under their own licence terms. On request within a reasonable period, we will identify open source notices we have received from manufacturers for products we configure.
We do not warrant that combinations of open source and proprietary modules will meet every regulatory certification without additional engineering. Custom images we build for you should be tested in your acceptance environment before production rollout.
20. UKCA marking and product compliance
Where Goods require UKCA marking for placing on the Great Britain market, we supply products from manufacturers who represent compliance with applicable UK regulations, including electrical safety and electromagnetic compatibility requirements as relevant to the product category.
You shall not remove, alter or obscure UKCA marks, manufacturer plates, or safety instructions. If you export Goods from Great Britain, you are responsible for destination conformity assessments and markings, including CE marking where required for Northern Ireland or EU markets under applicable rules.
We may request declarations of conformity or test summaries from manufacturers to support your compliance files. Provision of such documents is subject to manufacturer willingness and may be chargeable if extensive compilation is required.
21. WEEE and environmental obligations
Waste Electrical and Electronic Equipment obligations under UK WEEE Regulations may apply to Business-to-Business supplies. Producer responsibility may rest with the manufacturer or with us depending on the product and contractual allocation. Our quotations may include WEEE take-back options or visible environmental fees where applicable.
You shall not dispose of Goods in household waste. On request we will provide information on approved take-back or recycling routes for equipment we supplied. Data-bearing assets should be sanitised before recycling in accordance with your security policies.
Batteries, packaging and hazardous fractions must be handled under applicable environmental law. Large infrastructure removals may require scheduled collections and site method statements agreed in advance as a chargeable Service.
22. Custom computer system design and integration
Custom design engagements begin with a documented scope, assumptions, exclusions and Customer responsibilities. Bills of materials are based on manufacturer availability at design time. Substitution of equivalent components may occur if agreed in Writing when lead times or discontinuations intervene.
Integration Services may include rack build, cable dressing, labelling, BIOS configuration, RAID setup, hypervisor installation, and basic connectivity verification. Unless expressly included, cabling infrastructure within buildings, cooling, power distribution upgrades, and software application configuration remain Customer responsibilities.
Intellectual property in generic methods and pre-existing tools remains ours. Project-specific design documents prepared for you may be used by you internally for the deployed system. You shall not resell our design documents as a competing consultancy deliverable without permission.
23. Enterprise procurement and staged delivery
Enterprise projects may use phased purchase orders, milestone billing, and escrow of configuration passwords until final payment as agreed. Warehouse staging and customer-specific imaging are chargeable Services described in the Statement of Work.
You shall appoint a project contact empowered to give instructions. Change control applies to scope alterations. Waiting time caused by unavailable Customer sites or undecided specifications may be billed at agreed day rates.
Consolidation of multi-vendor shipments into single deliveries is undertaken with reasonable care but remains subject to each manufacturer's fulfilment. We are not liable for project delay solely because one vendor among many misses its estimate, except to the extent caused by our failure to place Orders promptly after receiving your funded instructions.
24. Installation, site readiness and health and safety
Unless we agree to install, you are responsible for installation by competent personnel. Where we install, you must ensure safe access, electrical readiness, permits, and induction compliance. We may refuse to work in unsafe conditions without liability for resulting delay.
You shall provide risk assessments and method statement requirements applicable to your site. Our personnel will comply with reasonable site rules. Additional security clearance lead times must be disclosed before scheduling.
Cutting in, structural works, and asbestos-related constraints are outside our scope. Discovery of hazardous materials entitles us to suspend work until you remediate.
25. Support, maintenance and service levels
Break-fix support, advanced replacement, and managed maintenance are supplied only under a separate support schedule stating hours of cover, response targets, and severity definitions. Response targets are service levels, not guarantees, unless an express service credit regime is agreed.
Support does not include issues caused by unauthorised modifications, third-party software conflicts not approved by us, force majeure, or failure of Customer backups. Onsite visits outside covered hours are chargeable at premium rates.
Remote support requires your authorisation for access tools. You remain responsible for privileged credential management. We process personal data in support tickets under privacy-policy.html and any data processing addendum.
26. Data processing when acting as processor
Where we process personal data on your behalf in the course of imaging, migration, support or hosting facilitation, we act as processor and you act as controller unless otherwise agreed. We will process only on documented instructions, ensure confidentiality of authorised persons, implement appropriate security measures, and assist with data subject requests insofar as possible relative to the Services.
Sub-processors such as logistics providers, cloud diagnostic tools and specialised repair centres may be used. We will impose materially equivalent data protection obligations. International transfers will use UK-approved transfer mechanisms where required under UK GDPR and the Data Protection Act 2018.
On termination of processing Services we will delete or return personal data at your choice unless retention is required by law. Further detail appears in privacy-policy.html. Cookie technologies on skynetai.it.com are described in cookie-policy.html and are separate from Contract processing.
27. Confidentiality
Each party shall keep confidential the other party's non-public technical, commercial and financial information received in connection with the Contract and use it only to perform the Contract. Confidentiality obligations survive for five (5) years after disclosure, and indefinitely for trade secrets for so long as they remain trade secrets.
Exceptions apply to information that is public other than by breach, independently developed, already known without duty, or required to be disclosed by law or regulation, provided the disclosing party gives prior notice where legally permitted. We may disclose confidential information to employees, advisers and subcontractors under confidentiality duties on a need-to-know basis.
Public announcements naming the Customer as a reference require prior written consent, except that we may list your trading name in anonymised sector case studies if you do not object within ten (10) Business Days of notice. Pricing and discounts are confidential to both parties.
28. Intellectual property ownership
Each party retains intellectual property rights existing prior to the Contract. Manufacturers retain rights in their products, documentation and brands. SKYNET AI LTD retains rights in its methodologies, templates, scripts, automation tools and generic knowledge.
Upon full payment, you receive a non-exclusive licence to use project-specific deliverables we create for your internal business purposes related to the deployed system. You shall not remove proprietary notices. Feedback you provide may be used by us to improve services without obligation.
If deliverables incorporate third-party materials, your licence is subject to those third-party terms. Trade marks of SKYNET AI LTD and manufacturers may not be used in marketing without permission except for accurate factual references to products purchased.
29. Customer materials and licences to Supplier
You grant us a non-exclusive licence to use Customer materials, logos for imaging wallpaper only where requested, software keys you provide, and documentation necessary to perform Services. You warrant you have rights to grant such licences and that our use on your instructions will not infringe third-party rights.
You shall indemnify us against claims arising from Customer materials, illegal content on devices submitted for work, or export-controlled data you provide without required licences. We may refuse to handle content that appears unlawful.
30. Non-solicitation of personnel
During the Contract and for six (6) months after its end, neither party shall solicit employment of the other party's employees who were materially involved in the Contract, except via general public advertisements not targeted at those individuals. Breach entitles the aggrieved party to a fee equal to three months' gross salary of the person hired, as a genuine pre-estimate of recruitment loss, without prejudice to other remedies.
This clause does not apply where prohibited by law governing restraint of trade, and will be modified to the minimum enforceable scope if needed.
31. Export control and sanctions
Goods, Software and technical assistance may be subject to United Kingdom export controls, US EAR/ITAR re-export rules, and sanctions regimes. You shall not export, re-export or divert items contrary to law, and shall not supply to denied parties or prohibited end uses including unauthorised military end uses where restricted.
You shall provide end-use and end-user statements on request. We may cancel Orders without liability if fulfilment would breach sanctions or export law. Delays for licence applications are Force Majeure for the affected obligation.
Encryption-capable products may require additional notifications. You are responsible for obtaining import licences in destination countries for international Orders.
32. Anti-bribery, modern slavery and ethics
Each party shall comply with the Bribery Act 2010 and shall not offer or accept improper payments. We maintain proportionate anti-bribery procedures. You shall comply with the Modern Slavery Act 2015 transparency expectations applicable to your organisation and cooperate with reasonable supply-chain due diligence requests.
We may terminate for material breach of this clause. Gifts and hospitality must remain modest and transparent. Facilitation payments are prohibited.
33. Insurance
You shall maintain, while risk in unpaid Goods rests with you and while title remains with us, insurance for full replacement value covering theft, fire, flood and accidental damage. We maintain public and products liability insurance at commercially reasonable levels for a business of our scale; certificates may be provided on request under confidentiality.
Insurance does not limit liability except where proceeds are agreed as exclusive remedy for an insured risk. You shall not do anything that voids manufacturer insurance or warranty programmes attached to Goods.
34. Limitation of liability
Subject to the mandatory carve-outs below, our total aggregate liability arising out of or in connection with any Contract, whether in contract, tort (including negligence), breach of statutory duty or otherwise, shall not exceed the price paid or payable for the Goods or Services giving rise to the claim in the twelve (12) months preceding the claim, or five thousand pounds sterling (£5,000), whichever is higher.
We shall not be liable for loss of profits, loss of revenue, loss of anticipated savings, loss of business opportunity, loss of goodwill, loss or corruption of data (except to the extent caused by our failure to use reasonable care when we are contracted to handle data), or any indirect or consequential loss, even if advised of the possibility.
Nothing excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, breach of implied terms as to title, or any other liability that cannot be limited under the laws of England and Wales, including mandatory Consumer Rights Act 2015 provisions where you are a consumer.
Claims must be notified promptly and legal proceedings commenced within twelve (12) months after you became aware or ought reasonably to have become aware of the circumstances giving rise to the claim, except for fraud. This is a contractual limitation period.
35. Indemnities
You shall indemnify and hold harmless SKYNET AI LTD against claims, damages, costs and expenses (including reasonable legal fees) arising from your breach of these Terms, your misuse of Goods or Software, your infringement of third-party intellectual property through Customer materials, unlawful export, or injury caused by your modification of Goods.
We shall indemnify you against third-party claims that Goods of our own brand (if any) infringe UK intellectual property rights, provided you give prompt notice, grant control of defence, and give reasonable cooperation. This indemnity does not apply to claims arising from combinations, modifications, or compliance with your detailed designs.
For third-party branded Goods, your remedy for infringement claims is limited to manufacturer indemnities and remedies we can reasonably obtain and pass through.
36. Force majeure
Neither party is liable for delay or failure to perform caused by circumstances beyond reasonable control, including natural disasters, epidemic, war, terrorism, riot, government action, sanctions changes, widespread utility or network failure, cyber attack on critical infrastructure, labour dispute affecting a third party, fire, flood, and manufacturer allocation or discontinuation.
The affected party shall give prompt notice and mitigate. If Force Majeure continues for more than ninety (90) days, either party may terminate the affected Order without liability except for payment for Goods delivered and Services performed. Payment obligations for delivered Goods are not excused by Force Majeure affecting the payer's internal systems unless banking infrastructure nationally fails.
37. Termination
Either party may terminate a Contract for material breach not remedied within thirty (30) days of written notice, or immediately if the other party becomes insolvent, enters administration, liquidation, or analogous proceedings, or suspends payment of debts.
We may terminate or suspend immediately if you breach export, anti-bribery, or intellectual property clauses, or fail to pay undisputed sums within seven (7) days of a further payment demand after the original due date.
On termination you shall pay for Goods delivered, Software licences activated, and Services performed up to the termination date, including non-cancellable manufacturer commitments made for your Order. Clauses intended to survive, including retention of title, confidentiality, IP, liability, indemnity, and governing law, shall survive.
38. Cancellation before despatch
You may request cancellation of unshipped standard stock lines before despatch. We may accept at our discretion subject to a cancellation fee reflecting procurement and handling costs. Special-order, configured, and non-returnable manufacturer lines cannot be cancelled once we have placed the upstream order, unless the manufacturer accepts cancellation and you bear all fees.
Deposits may be non-refundable as stated in the quotation. Consumer cancellation rights, where applicable, are described in the consumer clause above and take precedence for consumers.
39. Assignment and subcontracting
You may not assign the Contract without our prior written consent, not to be unreasonably withheld for solvent affiliates. We may assign to an affiliate or purchaser of our business and may subcontract logistics, installation and specialised technical tasks, remaining responsible for subcontracted performance unless otherwise agreed.
Rights of third parties under the Contracts (Rights of Third Parties) Act 1999 are excluded, except for our affiliates enforcing payment or IP clauses, and except for manufacturer licence terms that confer rights on publishers.
40. Notices
Notices under these Terms shall be in Writing delivered by hand, pre-paid post, or email to service@skynetai.it.com for notices to us, and to the email or postal address stated on your Order for notices to you. Postal notices are deemed received two Business Days after posting within the UK. Email is deemed received on the next Business Day if sent before 17:00 UK time on a Business Day without bounce-back.
Update of contact details must be notified promptly. Legal process must additionally comply with Civil Procedure Rules service requirements. Informal messages through website chat do not constitute notice.
41. Severability, waiver and variation
If any provision is held invalid, illegal or unenforceable, it shall be modified to the minimum extent necessary, and remaining provisions continue in full force. A waiver of any breach must be in Writing and is not a waiver of any subsequent breach. Failure to enforce is not a waiver.
Variations of these Terms are effective only if in Writing and signed or expressly accepted by authorised representatives, except that we may update these Terms for future Orders by publishing a new version on terms-and-conditions.html with a revised effective date. Existing Contracts remain on the version in force at acceptance unless both parties agree otherwise.
42. Entire agreement
These Terms, together with the Order acceptance, Specification, and any signed framework agreement, constitute the entire agreement for the supply and supersede prior negotiations relating to that supply. Each party acknowledges it has not relied on any representation not set out in the Contract, except for fraudulent misrepresentations.
Website Terms of Service at terms-of-service.html govern Site use only. Privacy and cookies are governed by privacy-policy.html and cookie-policy.html. Marketing descriptions on about.html and services.html are not contractual specifications unless incorporated in Writing.
43. Governing law and dispute resolution
These Terms and any dispute or claim (including non-contractual disputes) are governed by the law of England and Wales. The courts of England and Wales have exclusive jurisdiction. Parties shall first attempt good-faith negotiation for fourteen (14) days after written notice of dispute, without prejudice to applications for interim relief to protect IP, confidentiality or unpaid Goods.
Nothing requires arbitration unless a separate agreement so provides. Mediation under CEDR model procedure may be proposed by either party. Consumers may have additional venue rights that cannot be waived.
44. Notices to regulators and complaints
Privacy complaints may be raised with us at service@skynetai.it.com or with the Information Commissioner's Office. Commercial complaints should be sent to the same email or to 119 Windmill Avenue, St. Albans, AL4 9SL, United Kingdom, telephone +44 7520 987654.
We aim to acknowledge commercial complaints within five (5) Business Days and provide a substantive response within twenty (20) Business Days where reasonably practicable. Escalation contacts may be provided for enterprise accounts.
45. Packaging, labelling and serialisation
Goods will be packed in a manner we consider suitable for UK mainland transport. Special packaging for fragile items, export crates, or cleanroom delivery is chargeable. You must retain packaging for returns during the RMA window.
Serial numbers and asset tags applied by us remain our records for warranty administration. Tampering with serial labels may void support. Where you require custom asset tagging, provide the schema before staging begins.
Dangerous goods packaging for batteries and certain chemicals must comply with carrier rules. Declared lithium content may affect air freight eligibility and cost.
46. Storage, call-off and consignment
If we store Goods for you after purchase, storage fees and risk allocation will be stated in a storage schedule. Consignment stock remains our property until drawn and invoiced, and you shall report draws weekly. Shortages in consignment not explained by authorised draws will be invoiced at replacement value.
Call-off Orders must respect minimum call quantities and maximum storage duration. Goods held beyond the agreed period may be shipped and invoiced automatically on notice.
47. Quality management and counterfeit avoidance
We source from authorised channels where available for enterprise brands. You shall not supply us with Grey-market components for integration into systems we build without disclosing origin. We may refuse parts of uncertain provenance.
Suspected counterfeit items will be quarantined and may be reported to rights holders and authorities. Credit for counterfeit Goods sold in good faith from authorised distributors will follow manufacturer policies.
Certificates of conformity and batch traceability will be provided where the manufacturer makes them available and the Contract requires them.
48. Security of supply chain and cyber resilience
We expect Customers handling critical national infrastructure to declare heightened security requirements before Order acceptance. Additional screening, sealed delivery, and chain-of-custody logging may be agreed as chargeable measures.
You shall maintain malware controls on networks to which newly supplied systems are connected. We are not liable for compromise arising after delivery from your network conditions, except where our contracted configuration omitted an expressly agreed hardening control.
Vulnerability disclosures relating to products we supply should be directed to the manufacturer and copied to service@skynetai.it.com for reseller coordination.
49. Training and knowledge transfer
Training is included only if listed in the Order. Training materials are licensed for internal use by attendees. Recording of sessions requires prior consent. Certification exams are subject to third-party provider rules and fees.
Knowledge transfer workshops do not create an ongoing advice retainer unless a support Contract is executed. Advice given in training is general and must be validated against your change management process.
50. Documentation and language
Documentation is supplied in English unless otherwise agreed. Translation, if requested, is chargeable and the English version prevails in case of conflict. Electronic documentation may be provided via download links with expiry controls.
As-built documentation for custom integrations will be delivered as stated in the Statement of Work. Draft documents remain our IP until acceptance and payment.
51. Peripherals and office technology retail terms
Retail-style sales of peripherals and office technology to business customers remain subject to these B2B Terms even when purchased in small quantities through our computer store channels or via skynetai.it.com enquiry processes. Display models may be sold as seen with defects disclosed in Writing.
Compatibility with Customer devices is your responsibility unless we have provided a written compatibility assurance for a named device model. Cables, dongles and adapters are non-returnable once opened unless defective.
Bulk peripheral rollouts may include kitting and labelled per-desk bags as a Service. Short shipments in kits must be reported within the inspection period with kit identifiers intact.
52. Appliances and commercial electronics
Commercial electronics and appliance supplies are intended for business premises. Installation by Gas Safe or qualified electrical contractors is your responsibility unless included. Warranty may require registered professional installation.
You shall operate appliances within rated electrical loads and environmental envelopes. We are not liable for consequential kitchen or facilities downtime beyond the liability cap, except for mandatory liability that cannot be excluded.
Spare parts availability depends on manufacturer life cycles. We will use reasonable endeavours to source parts for a reasonable period but do not guarantee perpetual availability.
53. Networking, wireless and infrastructure hardware
Switching, routing, wireless and firewall Goods require competent configuration. Default passwords must be changed before production use. We may supply devices with vendor default configurations unless hardening is purchased.
Spectrum planning, channel interference and landlord consent for antenna placement are Customer responsibilities. Outdoor wireless may require planning considerations beyond our scope.
High-availability pairs must be licensed and cabled according to manufacturer design guides. Failure to follow validated designs may void support entitlements.
54. Servers, storage and data centre equipment
Rack weight, power density and cooling calculations are your responsibility. We can provide equipment nameplate data to assist your facilities team. Delivery of heavy Goods may require tail-lift and timed slots booked as chargeable extras.
Storage media may be pre-failed in rare manufacturer DOA events; early testing within the inspection window is essential. RAID configuration without verified backups risks data loss for which we accept no liability if performed under your instruction against our advice.
Secure erasure Services for retired disks are available under separate statements of work with certificates of destruction.
55. Software subscription renewals and auto-renewal
Subscription Software renews according to publisher rules. Where we administer renewals, we will seek your confirmation before charging unless you have mandated auto-renewal in Writing. Failure to renew may cause loss of access, security updates and compliance licences.
Price changes at renewal follow publisher notifications. We will pass through increases with reasonable notice where we receive such notice. True-up invoices for over-deployment are payable as publisher programmes require.
Cancellation of subscriptions must meet publisher notice deadlines; we cannot refund publisher non-refundable terms except where the publisher grants credit.
56. Evaluation units and proof of concept
Evaluation or proof-of-concept equipment remains our property and must be returned in good condition by the date stated. Title does not pass. Risk during evaluation rests with you. Missing accessories will be charged.
Data placed on evaluation units must be removed before return. If conversion to purchase occurs, evaluation fees may be credited as stated in the evaluation agreement.
POC success criteria should be documented. Failure to meet aspirational performance in an unsuitable environment does not oblige us to discount production systems.
57. Managed procurement desk services
Where we provide ongoing B2B IT infrastructure procurement desk Services, catalogues, approval workflows and monthly reporting will be defined in a managed service schedule. Order cut-off times affect same-week despatch eligibility.
You remain the purchaser of record for Goods unless a different agency model is agreed. Budget overruns require your approver's written authority. We are not obliged to fulfil Orders that exceed remaining authorised spend.
Service credits for procurement desk KPIs apply only if expressly scheduled and are your sole remedy for service level failure.
58. Configuration control and golden images
Golden images you supply must be properly licensed. We will not knowingly deploy unlicensed Software. Image build Services include documented versioning. Changes after sign-off follow change control and may affect project timelines.
Driver injection and hardware-specific adaptations may be required for each platform. You shall test images on representative hardware before mass deployment.
We retain copies of images only for the retention period stated in the Statement of Work, then delete them unless legal hold applies.
59. Remote hands and third-party data centres
Remote hands coordination with colocation providers is subject to the facility's rules and fees, which are passed through. We are not liable for facility outages, power events or cross-connect delays caused by the operator.
Access authorisations must be provided in the facility's required format. Incorrect authorisations causing aborted visits may still be chargeable.
60. Personal data on devices and GDPR roles
Devices returned for repair may contain personal data. You must back up and, where appropriate, encrypt or wipe data before return unless the fault prevents wipe and you instruct us to attempt data preservation. We process such data as processor under your instructions for the repair purpose.
UK GDPR and Data Protection Act 2018 obligations for controllers remain yours regarding staff and customer data on devices. Our Privacy Policy at privacy-policy.html describes our controller activities for website and account data.
Breach affecting personal data while devices are in our custody will be notified to you without undue delay for you to assess controller notification duties to the ICO and individuals.
61. Confidential pricing schedules and public procurement
Framework pricing shared under public procurement frameworks is confidential except for disclosures required by procurement law or Freedom of Information Act 2000, in which case you shall consult us before disclosure where permitted. We may designate trade secrets in pricing models.
Call-off Contracts under frameworks incorporate these Terms unless the framework mandates different terms, in which case framework terms prevail for conflicting clauses.
62. Audit rights
During the Contract and for two (2) years after, we may on reasonable notice audit your records solely to verify licence compliance for Software we supplied as reseller of record and to verify consignment stock. Audits shall minimise disruption and occur during Business Days.
If an audit reveals underpayment exceeding five percent (5%), you shall bear reasonable audit costs and promptly pay shortfalls. Publisher audit rights remain as per licence terms and may be more extensive.
63. Set-off exclusion and recovery
All sums due from you shall be paid free of any set-off or counterclaim unless a court orders otherwise or we agree in Writing. We may set off sums we owe you against sums you owe us. Costs of collection, including reasonable legal fees on an indemnity basis for B2B debts, may be recovered where permitted.
64. Escalation and technical disputes
Technical disputes about conformity to Specification shall first be referred to nominated technical leads. If unresolved within fifteen (15) Business Days, either party may request an independent expert agreed jointly, whose determination on technical facts shall be final and binding except in case of manifest error. Expert costs are shared equally unless the expert finds one party substantially loses.
Expert determination does not apply to pure payment disputes or IP ownership disputes, which remain for the courts of England and Wales.
65. Marketing permissions under PECR
Corporate contact details may be used for legitimate B2B marketing about relevant Goods and Services in accordance with PECR and our Privacy Policy. You may opt out by emailing service@skynetai.it.com. Soft opt-in rules for existing customers will be observed where applicable.
Consent records for sole traders and relevant partnerships will be maintained where PECR requires consent. Marketing preferences do not affect transactional messages about Orders.
66. Website catalogues and e-commerce signalling
Online catalogues on https://skynetai.it.com are invitations to treat. Automated stock indicators may lag actual warehouse positions. Screenshots of web prices are not binding quotations. Formal quotations issued by our sales team control Contract price.
User accounts for procurement portals, if offered, are subject to terms-of-service.html in addition to these Terms for purchases made through the portal.
67. Affiliate and reseller Customers
If you purchase for resale, you must not misrepresent your relationship with SKYNET AI LTD or manufacturers, must pass through end-user licence terms, and must not alter packaging or firmware in ways that breach distribution agreements. Minimum advertised price policies of manufacturers, where lawful, must be observed.
Export by resellers remains subject to the export clause. We may terminate supply if your resale practices jeopardise our distribution authorisations.
68. TUPE and staff transfers
The parties do not intend that the Transfer of Undertakings (Protection of Employment) Regulations 2006 apply to Services. If TUPE is alleged to apply contrary to that intention, you shall indemnify us against employment liabilities arising from transferring employees you previously engaged, except where caused by our failure to inform and consult when legally required of us.
69. Records retention
We retain Contract records, invoices and technical configurations for periods required by tax law and for legitimate business interests, typically six (6) years after the end of the Contract, unless a longer product liability period applies. Privacy retention for personal data is described in privacy-policy.html.
You should retain your own acceptance records and serial inventories for warranty and asset management.
70. Relationship of the parties
Nothing in these Terms creates a partnership, joint venture or employment relationship. Neither party may bind the other except as expressly authorised. Our personnel remain under our control when providing Services at your site, subject to site safety rules.
71. Further provisions on delivery windows and timed appointments
Timed delivery appointments are estimates agreed with carriers. Waiting time beyond thirty (30) minutes after arrival due to Customer unreadiness may incur waiting charges. Missed appointments without two Business Days' notice may incur abortive visit fees.
Congestion charges, ultra low emission zone fees, and parking penalties incurred unavoidably in performing delivery or installation may be passed through at cost when deliveries are to central urban locations disclosed in the Order.
Saturday or out-of-hours deliveries require express agreement and premium freight. Building loading dock bookings are your responsibility unless we agree to arrange them as a Service.
72. Acceptance testing for custom systems
Where acceptance tests are specified, we will provide a test plan. You shall complete tests within the agreed window or tests are deemed passed. Punch-list items classified as minor shall not delay acceptance; we will remediate minor items within a reasonable period.
Major failures against agreed criteria entitle you to require re-test after cure. Use of the system in live production for more than five (5) Business Days constitutes deemed acceptance except for latent defects.
Test data and accounts created for acceptance must be removed or rotated before production hardening if so stated in the security schedule.
73. Backup, disaster recovery and Customer responsibilities
Unless expressly contracted, we are not responsible for backup of Customer data. You should maintain verified backups before we perform invasive maintenance, upgrades or migrations. We may refuse to proceed if backup confirmation is withheld for high-risk changes.
Disaster recovery planning Services, if purchased, deliver documentation and recommendations; implementation of offsite recovery capacity is a separate scope. Recovery time and recovery point objectives are targets unless a committed service level with credits is agreed.
74. Cloud marketplaces and third-party billing
Where we procure cloud subscriptions on your behalf, cloud provider terms govern service availability. We may invoice estimated usage with true-up when provider bills arrive. You authorise us to accept provider terms as your agent where the Contract so states.
Marketplace private offers may have unique payment terms. Termination of cloud resources must be performed in the provider console; merely notifying us does not stop provider charges unless we manage the tenant under a managed service.
75. Samples, demos and trade show equipment
Demo equipment remains our property. You shall not remove components from demos. Loss or damage beyond fair wear will be charged at list price less reasonable depreciation. Trade show loans require a separate loan form.
76. Tooling, jigs and Customer-specific fixtures
Customer-specific jigs or labelling fixtures funded by you may become your property on payment; otherwise they remain ours. Storage of fixtures beyond project end may incur fees or disposal on notice.
77. Currency, overseas Customers and withholding tax
Prices are in pounds sterling unless otherwise stated. Overseas Customers bear bank charges and shall gross up withholding taxes so we receive the full invoiced amount net of such taxes, except where we confirm a treaty reduction documentation process.
VAT treatment for cross-border supplies follows UK VAT rules. You shall provide a valid VAT number for reverse charge mechanisms where applicable.
78. Variations for framework and special bids
Tender responses may propose deviations from these Terms. Only deviations accepted in the final Order acceptance amend these Terms for that Contract. Unaccepted tender mark-ups do not apply.
Most favoured customer clauses are not implied. Discretionary discounts do not create precedent for future Orders.
79. Accessibility of documentation and formats
We provide documentation in commonly used electronic formats. If you require accessible formats under applicable equality law for your staff, notify us and we will take reasonable steps to accommodate at proportionate cost.
80. Contact details and company identity
SKYNET AI LTD operates skynetai.it.com from 119 Windmill Avenue, St. Albans, AL4 9SL, United Kingdom. Email for contractual notices: service@skynetai.it.com. Telephone: +44 7520 987654. Company information pages: about.html and services.html. Contact channels: contact.html. Legal policies: privacy-policy.html, cookie-policy.html, terms-of-service.html, and this terms-and-conditions.html. Home: /.
These Terms are effective 1 September 2026. Continuing to place Orders after updates constitutes acceptance of the updated Terms for new Contracts. We thank you for choosing SKYNET AI LTD as your B2B technology supply partner under the laws of England and Wales.
16.1 Warranty exclusions detail
The limited warranty excludes defects arising from negligence, abnormal working conditions, failure to follow manufacturer instructions, misuse, alteration, or repair by unauthorised persons. Cosmetic damage that does not impair function is excluded unless present at delivery and notified within the inspection period.
Pixel policies for displays follow manufacturer dead-pixel criteria. HDD operational hours and SSD write endurance limits apply as specified by manufacturers. Noise from cooling fans within manufacturer acoustic specifications is not a defect.
18.1 Software audit cooperation
If a software publisher initiates a licence verification, you shall provide deployment data reasonably requested. We will furnish purchase records for licences bought through SKYNET AI LTD. Costs of unlicensed deployments remain your responsibility.
False declarations of usage constitute material breach. We may suspend Software support for unverified estates until declarations are corrected.
22.1 Custom integration assumptions
Unless otherwise stated, designs assume clean power within ITIC curves, adequate cooling, structured cabling meeting Cat6 or better for gigabit services, and rack depth clearance for selected chassis. Deviations discovered on site may require redesign charges.
Third-party software application tuning, database administration, and end-user training are excluded except where listed. Migration of legacy data needs a separate migration plan addressing corruption risks and downtime windows.
34.1 Insurance and liability interaction
You are encouraged to maintain business interruption and cyber insurance appropriate to your reliance on IT systems. Our liability cap reflects that Customers are better placed to insure consequential operational losses. Premium reductions are not offered for higher caps unless separately negotiated.
8.1 International delivery specifics
For exports, customs documentation will describe Goods accurately based on information available. You are the importer of record unless otherwise agreed and shall pay duties and local taxes. Incoterms stated on the Order acceptance allocate responsibility for freight booking and insurance.
Delays at border control are outside our control. Under-declaration requested by Customers will be refused. Preferential origin claims will be made only where evidence supports them.
9.1 Mixed goods and manufactured products
Where Goods are incorporated into your products, our retention of title continues in the Goods until payment, and extends to a claim on proceeds proportionate to the unpaid price. Tracing remedies are limited as equity and insolvency law allow.
6.1 Electronic invoicing and purchase orders
We may issue electronic invoices as PDF or structured e-invoice formats. You shall not delay payment awaiting duplicate paper copies. Purchase order numbers, if required by your accounts payable process, must be supplied at Order time; late provision does not extend payment due dates for Goods already delivered.
Disputed lines on multi-line invoices do not entitle withholding of payment for undisputed lines.
81. Multi-site deployments and logistics coordination
Where Goods are destined for multiple Customer sites, you shall provide a clear allocation matrix before despatch. Reallocation after despatch may incur additional freight and handling charges. We may ship from multiple warehouses and manufacturer drop-ship locations; multiple delivery notes may relate to a single Order.
Site-ready dates must be realistic. Early delivery into incomplete sites is at your risk for storage damage and theft after risk has passed. Consolidation hubs operated by you must acknowledge receipt and secondary distribution responsibility in Writing.
Cross-docking instructions require forty-eight hours' notice. Incorrect site codes on purchase orders are a Customer error and may lead to recoverable misdelivery costs. Serial-level delivery evidence will be provided where scanners are used by our logistics partners and data is shared with us.
International multi-site projects require local consignees on customs documents. We do not act as a permanent establishment in foreign jurisdictions merely by arranging deliveries. Local regulatory registration for radio equipment remains your obligation in each destination market.
82. Spare parts, advance replacements and depot repair
Advance replacement programmes, where offered, require return of defective units within the period stated in the RMA. Failure to return defective units will result in charge of full replacement value. Advance replacements may be new or equivalent refurbished units according to manufacturer policy.
Depot repair turnaround times are estimates. Loan units, if provided, remain our property and must be returned promptly after repair. Data remaining on repaired disks is handled under the personal data clause; cryptographic erasure may be requested as a chargeable option.
Spare parts kits sold for field service are non-returnable once seals are broken. Obsolete parts may be offered as last-time buys without future replenishment commitment. Pricing for emergency same-day parts courier is premium and confirmed before despatch.
83. Professional services day rates and expenses
Day rates assume a seven-and-a-half-hour working day excluding travel. Half days may be billed at sixty percent (60%) of the day rate. Evening and weekend work attracts multipliers stated in the quotation. Remote professional services are billed similarly without travel time.
Travel time beyond a thirty-mile radius from our St. Albans address or another agreed base may be billed at fifty percent (50%) of the day rate unless a fixed project fee includes travel. Mileage, subsistence and accommodation pre-approved in Writing are recharged at cost or at HMRC-compliant rates.
Cancelled site visits with less than two Business Days' notice may be billed in full if resources cannot be reallocated. Materials procured for Services are billed as Goods under these Terms. Overtime authorised by your site contact by email constitutes written variation.
84. Cable plant, passive infrastructure and exclusions
Supply of switches and wireless does not include structured cabling design sign-off by a BICSI or equivalent designer unless purchased. We may refuse to connect equipment to cabling that fails basic link tests. Copper and fibre test results, if we perform testing as a Service, will be provided as PDF reports.
Containment, drilling, painting, and fire-stopping are building works outside our scope. You must engage suitably qualified contractors. We accept no liability for aesthetic impact of agreed cable routes in listed buildings beyond exercising reasonable care when we perform limited cable dressing within racks we build.
Legacy coax or analogue plant integration requires explicit scope. Assumptions that 'it will just work' with modern IP systems are not Specifications. Gateway devices must be listed on the bill of materials to be included.
85. Identity, access management and privileged setup
When we configure directory services, identity providers or privileged access tools, we do so under your identity standards. Default break-glass accounts created during build must be rotated by you before production. We will transmit temporary secrets through agreed secure channels, not through unencrypted email where avoidable.
We are not your outsourced security operations centre unless a managed security schedule exists. Misconfiguration discovered after acceptance that results from your subsequent changes is outside warranty. Hardening baselines such as CIS benchmarks are applied only if listed and scoped with exception registers.
Integration with third-party single sign-on products requires administrative access you provide. Delays obtaining such access extend timelines under the Customer dependencies clause.
86. Industrial and edge computing environments
Equipment rated for industrial temperatures must still be installed per enclosure guidelines. Condensation, conductive dust, and vibration outside specifications void warranty. We may require environmental readings before approving installation Services on factory floors.
Edge appliances filtering OT networks should be deployed with your OT engineering approval. We do not assume responsibility for production line safety cases. Safety PLCs and SIL-rated systems are excluded unless we expressly contract specialists.
Cellular routers require SIM contracts you provide. Data usage overages are your cost. Antenna installation on vehicle fleets requires separate automotive scope and is not standard IT installation.
87. Audiovisual and collaboration room systems
AV Bills of materials assume room dimensions and finishes disclosed by you. Acoustic treatment and lighting control are excluded unless listed. Cable lengths cut to fit are non-returnable. Commissioning includes source switching verification, not programme content creation.
Wireless presentation systems depend on Customer Wi-Fi quality. We may recommend dedicated SSID configurations but do not control your enterprise wireless unless contracted. BYOD support limitations will be documented at handover.
Manufacturer room design tools produce estimates; on-site verification may alter lens and mount selections with price adjustments via change control.
88. Point of sale and payment device supply
POS hardware supply does not include payment application certification, acquirer contracts, or PCI DSS compliance assessments unless expressly included. You remain merchant of record for card transactions. We will supply devices from approved vendor lists where you specify acquirer requirements in Writing.
Encryption keys and injection Services are performed by authorised key injection facilities; scheduling depends on those third parties. Test lanes should be validated before store rollouts. Consumables such as receipt rolls are supplied under separate SKUs and are non-returnable.
89. Asset disposal, buy-back and secure recycling
Buy-back quotations are indicative until devices are inspected. Data bearing assets must be wiped to your policy; we can provide certified destruction. Prices may be adjusted for missing chargers, cracked chassis, or locked firmware passwords.
Title to disposed assets passes as stated in the disposal schedule. Environmental compliance evidence will be provided by downstream recyclers where available. You warrant you own assets submitted for disposal free of third-party leasing encumbrances, or have lessor authority.
90. Service credits exclusive remedy
Where service credits are specified for support or availability failures, such credits are your sole and exclusive remedy for the corresponding service level failure, subject always to the mandatory liability carve-outs. Credits are applied to future invoices and are not payable as cash except on Contract termination where a credit balance remains.
Credits will not exceed the monthly service fee for the affected service in any month. Claims for credits must be made within thirty (30) days of the incident with supporting severity records.
91. Escalation contacts and governance boards
Enterprise Customers may request quarterly business reviews covering supply performance, open RMAs, and roadmap alignment. Governance boards are consultative and do not vary Contracts without written change control. Minutes of reviews are not contractual amendments.
Named escalation contacts on both sides should be kept current. Emergency escalations outside Business Hours for P1 incidents under support Contracts follow the on-call process in the support schedule.
92. Ethical sourcing and conflict minerals statements
We relay manufacturer statements on conflict minerals and ethical sourcing where reasonably available for enterprise hardware lines. We do not independently assay materials. Customers with regulated supply-chain due diligence duties should contract manufacturers directly for extended questionnaires where needed, and we will facilitate introductions.
Modern slavery statements required of SKYNET AI LTD under applicable turnover thresholds will be published through company channels when required by law. Suppliers are expected to prohibit forced labour in their operations.
93. Temporary labour and contractor management on site
If we supply named consultants, substitution with equal skill is permitted on notice. Consultants do not become your employees. You shall not control the manner of work beyond defining deliverables and site rules, to preserve the supplier relationship.
Background screening standards will be stated in the security schedule. Costs of Customer-specific screening beyond our standard employment checks may be passed through. Refused passes that prevent work may still incur scheduling fees if short-notice.
94. Drawings, BIM and design file formats
We provide rack elevations and logical diagrams in PDF and editable formats stated in the Statement of Work. BIM families for equipment may be manufacturer-supplied and are provided without warranty of parametric accuracy. Clash detection in Customer BIM models remains the design team's responsibility.
Revision clouds and version numbers identify authoritative drawings. Construction from superseded drawings is at your risk. As-built redlines must be returned within the period stated for final documentation packs.
95. Continuity during corporate change of control
A change of control of either party does not itself terminate the Contract. We may require updated credit information after your change of control. Novation to a successor of SKYNET AI LTD engaged in the same business may occur on written notice without Customer consent where obligations are assumed in full.
You shall not unreasonably withhold consent to novation required by a bona fide sale of our business. Confidentiality continues to bind successors.
96. Interpretation against headings and examples
Examples of Goods and Services in these Terms illustrate scope and do not limit the categories of products we may supply. Headings and clause numbers are navigational aids. Schedules annexed to an Order form part of the Contract. In case of number and word conflict, words prevail for monetary amounts.
References to skynetai.it.com include successor domains we operate for the same business after notice on the Site. Contact details updates posted on contact.html form notice of new addresses for routine correspondence, but contractual notices should use service@skynetai.it.com until formally varied.
97. Additional PECR and electronic communications for Contracts
Order acknowledgements, shipping notices and invoice emails are transactional communications. You consent to receive them at addresses you provide. Marketing under PECR remains separate and opt-out capable via service@skynetai.it.com.
Electronic signatures including typed names in email acceptances and recognised e-sign platforms may form Contracts. We may require multi-factor signed PDFs for high-value Orders above thresholds we set internally.
98. Safety data sheets and hazardous goods information
Where Goods are accompanied by safety data sheets under UK REACH or CLP-related duties, we will pass through manufacturer SDS documents on request. You shall train your staff on safe handling. Lithium battery transport classifications must be observed for any onward shipment you arrange.
Spills, leaks, or thermal events must be managed under your site emergency plans. Notify us of serial numbers involved in safety events so we can engage manufacturers and, where required, market surveillance authorities.
99. Entire commercial understanding for wholesale accounts
Wholesale Customers acknowledge that margin structures, deal registrations, and special bid pricing are discretionary and confidential. Deal registration with manufacturers, where we support it, does not guarantee award. Back-end rebates remain subject to manufacturer audit and may be withheld if programme rules are breached by either party.
Ship-and-debit or price protection mechanisms apply only if expressly confirmed in Writing for named Opportunities. Stock rotation privileges, if any, are manufacturer-driven and limited.
100. Closing acknowledgements
By entering a Contract you acknowledge you have read these Terms and Conditions, the Privacy Policy at privacy-policy.html, the Cookie Policy at cookie-policy.html, and the Website Terms of Service at terms-of-service.html, and that you have had opportunity to seek legal advice. Company narrative on about.html and service summaries on services.html are informational.
Questions before ordering may be directed to SKYNET AI LTD, 119 Windmill Avenue, St. Albans, AL4 9SL, United Kingdom, telephone +44 7520 987654, email service@skynetai.it.com. The home page of our Site is available at /. These Terms apply from 1 September 2026 under the laws of England and Wales with disputes before the courts of England and Wales.
Nothing in this closing section limits mandatory statutory rights. If any marketing communication conflicts with these Terms, these Terms prevail for contractual risk allocation, title, payment, delivery, licensing, compliance, liability and indemnity.
23.1 Enterprise wave planning
Wave plans allocate users, closets and racks to delivery batches. Changes to wave membership after staging begins may require re-imaging fees. You shall freeze user lists seventy-two hours before each wave ship date unless emergency adds are approved at premium handling rates.
Pilot waves should precede full rollout. Lessons from pilots feed change control for later waves. Skipping pilots despite our recommendation is at your risk for systemic configuration issues.
31.1 Denied party screening
We may screen Customer names, consignees and banks against sanctions lists. False positives may delay Orders while we seek clarification. You shall procure that beneficial owners relevant to the transaction are disclosed when lawfully requested for screening.
35.1 Indemnity claim procedure
The indemnified party shall give prompt notice of claims, allow the indemnifying party to control defence and settlement of third-party claims that are solely monetary, and provide reasonable assistance at the indemnifying party's expense. Settlements admitting fault of the indemnified party require its consent, not to be unreasonably withheld.
37.1 Consequences of insolvency for licences
Software licences are generally non-transferable on insolvency except as publisher terms allow. Hardware subject to retention of title may be recovered. Hosted subscriptions paid in advance may not be refundable where publishers retain fees.
42.1 Hierarchy with statements of work
Statements of Work may define deliverables, assumptions and exclusions. They may not reduce the liability carve-outs for death, personal injury or fraud, and may not override export or anti-bribery clauses. Payment schedules in Statements of Work prevail over default payment timing for the relevant project.
12.1 Materials quality under SGSA
Where we supply materials with Services, quality will be satisfactory within the meaning applicable to B2B contracts as limited by UCTA reasonableness. Reused materials you supply are accepted 'as is' for integration risk unless we inspect and accept them in Writing as fit.
